Advisory Board Member Framework

Thank you for contributing your knowledge, experience and perspective as a member of the Advisory Board of The Women in STEM Network.

Mums in Science Limited owns and operates The Women in STEM Network and trades under that name.

The Advisory Board supports the development of the Network by providing independent advice, professional expertise, constructive challenge and strategic guidance.

This framework explains what Advisory Board membership involves, what is expected of members and the boundaries of the role.

Purpose of the Advisory Board

The Advisory Board brings together people with knowledge and experience that can support the mission and development of The Women in STEM Network.

Members may contribute expertise from areas including:

  • Science, technology, engineering, mathematics and medicine
  • Higher education and research
  • Industry and business
  • Healthcare
  • Professional development
  • Mentoring and career support
  • Equality, diversity and inclusion
  • Community development
  • Governance and leadership
  • Finance and fundraising
  • Communications and public engagement
  • Partnerships and sponsorship
  • Regional and international networks

The Advisory Board provides advice. It is not the statutory board of Mums in Science Limited and does not manage the organisation.

Legal Status of the Role

Dr Shara Cohen is the Founder and sole Director of Mums in Science Limited.

She retains ultimate legal, statutory, financial and governance responsibility for Mums in Science Limited and The Women in STEM Network.

Appointment to the Advisory Board does not make a member:

  • A director of Mums in Science Limited
  • An employee of the company
  • An officer of the company
  • A legal representative of the company
  • An agent authorised to bind the company
  • Personally responsible for the company’s governance or liabilities

Advisory Board members do not have executive authority and cannot make binding decisions on behalf of Mums in Science Limited or The Women in STEM Network.

Any separate authority given to a member must be granted in writing by the Director and must be limited to a defined activity or responsibility.

Role of an Advisory Board Member

An Advisory Board member is expected to provide thoughtful, independent and constructive advice.

Members may be invited to:

  • Review strategic proposals
  • Advise on opportunities and risks
  • Share professional or sector knowledge
  • Contribute ideas for programmes and services
  • Provide feedback on membership and community development
  • Advise on partnerships and professional relationships
  • Help identify emerging issues affecting women in STEM
  • Support the development of inclusive practices
  • Provide constructive challenge
  • Review information about organisational progress and impact
  • Make introductions to relevant individuals or organisations
  • Contribute to agreed projects or working groups
  • Support the professional reputation of the Network

Members are not expected to manage daily operations unless they hold a separate operational appointment.

Individual Responsibilities

Advisory Board members are expected to:

  • Support the mission and values of The Women in STEM Network
  • Act honestly, objectively and in good faith
  • Provide balanced and independent advice
  • Prepare for and participate in meetings
  • Contribute relevant knowledge and experience
  • Respect different perspectives
  • Offer constructive challenge
  • Protect confidential and sensitive information
  • Declare conflicts of interest promptly
  • Maintain appropriate professional boundaries
  • Avoid making unauthorised commitments
  • Use the organisation’s name and brand responsibly
  • Distinguish personal opinions from the organisation’s official position
  • Inform the Director of any matter that may affect their role
  • Comply with relevant organisational policies
  • Act in a manner that protects the organisation and its community

Relationship with the Director

The Advisory Board advises the Director.

The Director may ask members to provide advice on strategic, professional, operational or organisational matters.

The Director will consider the advice provided but retains authority to:

  • Accept a recommendation
  • Modify a recommendation
  • Decline a recommendation
  • Request further information
  • Make the final decision

Advisory Board members do not supervise or direct the Director.

Relationship with the Chief Executive Officer

The Chief Executive Officer manages the day-to-day activities of The Women in STEM Network under authority delegated by the Director.

The Chief Executive Officer may:

  • Attend Advisory Board meetings
  • Present operational reports
  • Ask members for advice
  • Coordinate agreed actions
  • Provide updates on programmes and organisational development
  • Support communication between members and the operational team

Advisory Board members may provide advice to the Chief Executive Officer but do not manage or direct the Chief Executive Officer.

The Chief Executive Officer remains accountable to the Director.

Relationship with Staff, Contractors and Volunteers

Advisory Board members do not have authority to manage or direct:

  • Members of staff
  • Contractors and consultants
  • Regional Directors
  • Local Hub Leads
  • Volunteers
  • Ambassadors
  • Programme or project teams

Requests involving operational work should normally be directed through the Director or Chief Executive Officer.

A member may work with staff, contractors or volunteers on an approved activity where:

  • The activity has been agreed
  • Responsibilities are clearly defined
  • The relevant operational lead is aware
  • The member remains within the agreed scope
  • No unauthorised commitment is created

Appointment

Advisory Board members are appointed by the Director.

Before accepting an appointment, a prospective member should receive information about:

  • The purpose of the Advisory Board
  • The advisory nature of the role
  • Expected responsibilities
  • The anticipated time commitment
  • Confidentiality
  • Conflicts of interest
  • The limits of the member’s authority
  • Use of the organisation’s name and brand
  • Relevant governance policies

The appointment becomes effective when confirmed by the Director.

Term of Appointment

The duration of the appointment will be confirmed in writing.

An appointment may be renewed by agreement between the member and the Director.

Membership is not permanent and does not create an entitlement to continued appointment.

The organisation’s needs and Advisory Board composition may change over time.

Time Commitment

The expected time commitment may include:

  • Attending Advisory Board meetings
  • Reading papers before meetings
  • Responding to occasional requests for advice
  • Participating in agreed working groups
  • Providing input on relevant proposals
  • Attending selected events
  • Making agreed introductions
  • Supporting occasional strategic activities

Members should only accept responsibilities they can reasonably complete.

If a member’s availability changes, they should inform the Director or Chair.

Meetings

Advisory Board meetings may take place:

  • In person
  • Online
  • By telephone
  • Through written consultation
  • Through a combination of formats

Members should make reasonable efforts to attend meetings and notify the Chair or Director when they are unable to participate.

Meeting information and papers should be treated appropriately, particularly where they contain confidential, personal or commercially sensitive information.

Preparing for Meetings

Members should:

  • Review relevant papers in advance
  • Identify questions or concerns
  • Consider whether they have a conflict of interest
  • Contribute within their areas of knowledge
  • Be clear when a view is based on personal opinion rather than professional expertise
  • Respect the time and contributions of others

Members are not expected to provide advice outside their knowledge or professional competence.

Advice and Recommendations

Advisory Board members provide recommendations rather than binding decisions.

Members should aim to:

  • Consider the wider interests of the organisation
  • Take account of the Network’s mission and values
  • Evaluate relevant risks and opportunities
  • Be honest about areas of uncertainty
  • Provide evidence or reasoning where appropriate
  • Respect different professional perspectives
  • Avoid allowing personal interests to influence their advice

The Director retains responsibility for deciding whether and how a recommendation is adopted.

Limits of Authority

Unless expressly authorised in writing, an Advisory Board member may not:

  • Sign a contract or agreement
  • Commit the organisation to expenditure
  • Approve a budget or payment
  • Open or operate a bank account
  • Employ, dismiss or manage staff
  • Appoint or remove volunteers
  • Direct the Chief Executive Officer
  • Enter into a partnership or sponsorship agreement
  • Apply for funding in the organisation’s name
  • Negotiate final commercial terms
  • Make an official public statement
  • Speak to the media on behalf of the organisation
  • Give legal, financial or regulatory assurances
  • Use the organisation’s name or logo for a personal or commercial purpose
  • Access information that is not required for the advisory role
  • Represent themselves as a director of Mums in Science Limited
  • Transfer authority to another person
  • Make promises on behalf of the organisation

Members should refer to the Delegation of Authority Policy whenever they are uncertain about the limits of their role.

Conflicts of Interest

Advisory Board members must comply with the Conflicts of Interest Policy.

Members must declare any actual, potential or perceived conflict as soon as reasonably possible.

A conflict may arise from:

  • Employment
  • Consultancy work
  • Business ownership
  • Investments or shareholdings
  • Other board or advisory appointments
  • Personal or family relationships
  • Partnerships or commercial interests
  • Gifts or hospitality
  • Another interest that could affect impartiality

Having a conflict does not automatically prevent someone from serving on the Advisory Board. The conflict must, however, be declared and managed appropriately.

Depending on the circumstances, a member may be asked not to receive information, join a discussion or contribute to a recommendation relating to the matter.

Declaration of Interests

Advisory Board members may be asked to complete a separate Declaration of Interests when they are appointed and to update it when their circumstances change.

The declaration will be managed in accordance with the Conflicts of Interest Policy.

The Declaration of Interests is a separate governance record and does not form part of this framework.

Confidentiality

Members may receive confidential, commercially sensitive or personal information.

Advisory Board members must:

  • Use confidential information only for the agreed purpose
  • Keep information secure
  • Avoid sharing it without permission
  • Avoid discussing confidential matters in public or insecure settings
  • Return or delete information when requested
  • Report any suspected loss or unauthorised disclosure
  • Continue protecting confidential information after their appointment ends

Confidential information must not be used for personal, professional or commercial advantage.

Data Protection

Personal information must be handled in accordance with applicable data protection requirements and organisational policies.

Advisory Board members must not:

  • Retain personal information unnecessarily
  • Store information using unapproved systems
  • Share personal information without authority
  • Use information for an unrelated purpose
  • Contact members or participants using confidential data without approval
  • Give another person access to organisational information or systems

Any suspected data breach must be reported promptly.

Public Statements and Media

Advisory Board members may state that they serve on the Advisory Board after their appointment has been confirmed.

They must not suggest that they:

  • Are directors of Mums in Science Limited
  • Speak officially for the organisation
  • Have executive authority
  • Can make organisational decisions
  • Can commit the organisation to an agreement
  • Represent the personal views of the Director

Media enquiries and requests for official comments should be referred to the Director or an authorised spokesperson.

Use of Name and Brand

The name, logo and materials of Mums in Science Limited and The Women in STEM Network may only be used for approved purposes.

Members must obtain permission before using the organisation’s branding in:

  • Publications
  • Presentations
  • Events
  • Promotional material
  • Commercial activities
  • Fundraising
  • Partnership proposals
  • Social media campaigns
  • Personal websites or professional profiles beyond an approved description of their role

Membership of the Advisory Board must not be used to imply endorsement of a separate organisation, business, product or service.

Introductions and Relationships

Members may support the Network by making introductions to potential:

  • Partners
  • Sponsors
  • Funders
  • Speakers
  • Contributors
  • Professional advisers
  • Members
  • Supporters

An introduction does not give the member authority to negotiate or agree terms.

Any partnership, sponsorship, funding or commercial arrangement must be approved through the organisation’s established processes.

Events and External Representation

A member may represent the Advisory Board or the Network at an event where this has been agreed in advance.

When representing the organisation, members must:

  • Use approved information
  • Remain within the agreed purpose
  • Avoid making unauthorised commitments
  • Distinguish personal views from organisational positions
  • Protect confidential information
  • Act professionally
  • Refer sensitive questions to an authorised spokesperson

Conduct and Inclusion

Advisory Board members are expected to contribute to a respectful, inclusive and professional environment.

Members must not engage in:

  • Bullying
  • Harassment
  • Discrimination
  • Victimisation
  • Intimidation
  • Abusive conduct
  • Misuse of position
  • Behaviour likely to harm the organisation or its community

Professional disagreement and constructive challenge are encouraged when expressed respectfully.

Safeguarding

Members must report any safeguarding concern that becomes known through their Advisory Board role.

They must not attempt to investigate a safeguarding concern independently unless formally authorised and professionally qualified to do so.

Immediate concerns should be referred to the Director or the designated safeguarding contact.

Intellectual Property

Documents and materials supplied by Mums in Science Limited remain the property of the company or the relevant rights holder.

Materials created specifically for the organisation by an Advisory Board member should be managed according to any written agreement applying to that work.

Members must not copy, publish, license, sell or commercially exploit organisational materials without permission.

Remuneration and Expenses

Advisory Board membership is normally voluntary and unpaid unless a separate written arrangement has been agreed.

Reasonable expenses may be reimbursed where:

  • The expense was approved in advance
  • It was necessary for an agreed activity
  • Suitable evidence is provided
  • The claim complies with organisational procedures

Advisory Board membership does not create an employment relationship.

Any separately commissioned paid work must be covered by an appropriate written agreement.

Review of Membership

The Director may periodically review each member’s:

  • Participation
  • Attendance
  • Contribution
  • Areas of expertise
  • Availability
  • Compliance with this framework
  • Conflicts of interest
  • Continued suitability for the Advisory Board
  • Alignment with the organisation’s needs

The review may result in renewal, amendment or conclusion of the appointment.

Resignation

A member may resign by notifying the Director in writing.

Where possible, reasonable notice should be provided to support an orderly handover.

On leaving the Advisory Board, the member must:

  • Stop presenting themselves as a current member
  • Return or delete confidential information when requested
  • Stop using Advisory Board systems and contact lists
  • Return organisational property
  • Stop using the organisation’s name and branding in connection with the former role
  • Continue to comply with confidentiality obligations

Suspension or Ending an Appointment

The Director may suspend or end an appointment where:

  • The agreed term has ended
  • The organisation’s needs or structure have changed
  • The member is unable to participate
  • The member repeatedly fails to meet agreed expectations
  • A conflict of interest cannot be managed
  • Confidential information is misused
  • The organisation is misrepresented
  • The member acts outside their authority
  • There is a serious breach of policy
  • Conduct is inconsistent with the organisation’s mission or values
  • Continued appointment could cause harm to the organisation or its community

Immediate action may be taken where necessary to protect people, information, legal compliance or the organisation’s reputation.

Ending an appointment does not require a finding of legal wrongdoing.

Questions and Support

Members should contact the Director or the Advisory Board Chair if they:

  • Are uncertain about their responsibilities
  • Need clarification about their authority
  • Believe they may have a conflict of interest
  • Have concerns about confidentiality or data protection
  • Need support to participate
  • Wish to raise a governance concern
  • Can no longer fulfil their role

Questions should be raised early so that they can be addressed appropriately.

Acknowledgement

By accepting an appointment, an Advisory Board member confirms that they understand:

  • The Advisory Board is advisory
  • They are not a director of Mums in Science Limited
  • They have no legal or executive authority unless it is expressly delegated
  • They must follow the organisation’s governance policies
  • They must protect confidential information
  • They must declare and appropriately manage conflicts of interest
  • They must act professionally and within the boundaries of their role

Any formal acceptance or signature should be recorded separately as part of the member’s appointment documentation.
